Welcome to NexElite Network. These Terms of Service (“Terms”) govern your use of the NexElite Network website and your engagement with NexElite Network (“NexElite,” “we,” “us,” or “our”).

By accessing our website, submitting an enquiry, requesting our services, or engaging NexElite for a project, you agree to these Terms.

1. Our Services

NexElite provides digital services including, but not limited to:

  • Branding and visual identity
  • Website design and development
  • Software development
  • Application development
  • UI/UX and product design
  • Product design and development support for startups
  • Digital marketing and social media marketing
  • AI-powered digital solutions and automation
  • Other related digital services agreed between NexElite and a client

The specific services, deliverables, timelines, fees, milestones, and other project requirements will be set out in the applicable Proposal, Project Brief, Statement of Work (“SOW”), or other written agreement.

2. Project Agreements

Individual projects may be governed by a Proposal, SOW, Project Brief, or other written agreement between NexElite and the Client.

Where project-specific terms differ from these Terms, the applicable project agreement will govern those specific matters for that project.

NexElite is not obligated to accept every project enquiry or request for services.

3. Proposals, Pricing and Payment

Project fees and payment schedules will be communicated through the applicable Proposal, invoice, SOW, or project agreement.

Unless otherwise agreed in writing, payment milestones and applicable due dates will be determined on a project-by-project basis.

Third-party costs, including hosting, domains, software licenses, subscriptions, APIs, advertising costs, payment-processing charges, or other external services required specifically for a Client’s project, may be charged separately from NexElite’s service fees. Where applicable, such costs will be identified in the relevant Proposal or SOW.

Unless otherwise agreed, NexElite is not responsible for absorbing third-party costs required specifically for a Client project.

4. Client Responsibilities

Clients are responsible for providing accurate information, materials, content, credentials, approvals, and feedback reasonably required for the delivery of their project.

Where a project requires Client-provided materials or approvals, delays in providing them may affect the project timeline.

Clients are responsible for ensuring that materials they provide to NexElite do not infringe the rights of third parties or violate applicable laws.

5. Scope Changes and Additional Work

NexElite will deliver the services and deliverables specified in the applicable project agreement.

Requests that materially change the agreed scope, functionality, deliverables, design direction, or project requirements may be treated as additional work and may require a revised quotation, additional fee, or updated timeline.

Any additional work should be approved by the Client before it begins.

6. Revisions and Approvals

Revision limits, approval procedures, and feedback requirements may vary by project and will be specified in the applicable Proposal or SOW.

Client approval of a deliverable may be treated as acceptance of that deliverable for the purposes of the applicable project.

7. Intellectual Property

Ownership and licensing of project deliverables will be determined by the applicable Proposal, SOW, or project agreement.

Unless otherwise agreed, NexElite may retain ownership of its pre-existing materials, tools, methods, frameworks, processes, templates, know-how, and other materials developed independently of a Client project.

Third-party software, libraries, fonts, plugins, APIs, stock assets, and other licensed materials remain subject to their respective licenses and terms.

8. Third-Party Services

NexElite may use or integrate third-party platforms, software, hosting providers, APIs, payment processors, communication tools, development tools, analytics services, AI services, and other technology providers when required to operate our services or deliver a project.

Third-party services may be subject to separate terms, fees, availability, limitations, and privacy policies.

Where a third-party service is required specifically for a Client project, the applicable project agreement will identify responsibility for the associated costs where appropriate.

NexElite is not responsible for interruptions, changes, pricing, security incidents, or failures caused by third-party providers outside NexElite’s reasonable control.

9. Website Content and Intellectual Property

Unless otherwise stated, the content, branding, text, graphics, design, layout, and other materials appearing on the NexElite website are owned by or licensed to NexElite and may not be reproduced, copied, modified, distributed, or commercially exploited without prior written permission.

10. Acceptable Use

You agree not to use the NexElite website to:

  • Violate applicable laws or regulations
  • Attempt to gain unauthorized access to our systems
  • Introduce malicious software or harmful code
  • Interfere with the operation or security of the website
  • Misuse information obtained through the website
  • Submit fraudulent, misleading, or unlawful information

11. Confidentiality

Confidential information exchanged during a project will be handled in accordance with the applicable project agreement or confidentiality obligations between the parties.

Information submitted through our website may also be handled in accordance with our Privacy Policy.

12. Warranties and Disclaimers

We aim to provide professional and reliable services; however, we do not guarantee that the website or any third-party service will always be uninterrupted, error-free, or available.

Project outcomes may depend on factors outside NexElite’s control, including Client decisions, third-party platforms, market conditions, advertising platforms, search engines, hosting providers, and other external factors.

Unless expressly stated in a written project agreement, NexElite does not guarantee specific business, revenue, traffic, search-ranking, advertising, or conversion results.

13. Limitation of Liability

To the extent permitted by applicable law, NexElite will not be liable for indirect, incidental, consequential, or special losses arising from the use of our website or services.

Any project-specific limitations of liability, where applicable, will be governed by the relevant project agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

14. Termination and Suspension

Project termination, cancellation, refunds, outstanding payments, and related matters will be governed by the applicable Proposal, SOW, or project agreement.

NexElite may suspend access to its website or services where reasonably necessary for security, legal, operational, or payment-related reasons.

15. Changes to These Terms

NexElite may update these Terms from time to time to reflect changes to our services, operations, technology, or legal requirements.

The updated Terms will be made available on this website.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in Nigeria.
